Please read these Terms carefully before accessing or using the Platform. By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree to all the Terms, you may not access the Platform or use any services.

1. DEFINITIONS

"User" means any individual or organization accessing or using the Platform.

"Account" means the registration credentials and profile created by a User to use Platform features.

"Marketplace" means the CNESS digital marketplace where Users list, buy, and sell digital or physical conscious goods and services.

"Certification Program" means the conscious certification services offered by CNESS to individuals and organizations.

"Mentorship Program" refers to CNESS’ licensed mentors who are certified to train and guide others within the Platform.

"Partner Program" refers to organizations licensed by CNESS to promote, market, and resell CNESS certifications, memberships, and solutions.

"Visionary Council" means the founding community of Users and Organizations who contribute to CNESS's early growth.

"Ariven AI" means CNESS's proprietary artificial intelligence tool offering solution-oriented recommendations.

2. ELIGIBILITY AND ACCOUNT RESPONSIBILITIES

By creating an account or using the Platform, you represent that you are at least 18 years old and have the legal authority to enter into these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

CNESS reserves the right to suspend, terminate, or refuse service to any account that breaches these Terms or engages in conduct detrimental to the Platform.

3. PLATFORM SERVICES

CNESS provides multiple services, including:

• Conscious social networking and content sharing
  
  

• Professional and organizational certifications
  
  

• Marketplace for digital and physical conscious products
  
  

• Public directory listings for certified individuals and organizations
  
  

• Mentorship and Partner Programs
  
  

• AI-powered guidance via Ariven AI
  
  

• CNESS TV and other curated conscious media offerings
  
  

These services may evolve, expand, or change over time.

4. USER CONTENT AND INTERACTIONS

Users may post, upload, or share content, including text, media, and comments. By submitting content, you grant CNESS a perpetual, worldwide, royalty-free license to use, reproduce, display, modify, distribute, and promote your content in connection with the Platform.

You agree not to upload any unlawful, defamatory, infringing, obscene, or otherwise objectionable content. CNESS may remove any content at its sole discretion.

You are solely responsible for your interactions with other Users and any transactions conducted through the Platform.

5. CERTIFICATION PROGRAM

Certification eligibility is subject to evaluation against CNESS's standards of conscious leadership and practices.

CNESS reserves the right to award, deny, suspend, or revoke certifications based on compliance with evaluation criteria, audits, and conduct reviews.

Certification is not an endorsement, warranty, or guarantee of results, and CNESS disclaims all liabilities arising from third-party reliance on any certification.

6. MENTORSHIP PROGRAM

Certified mentors must adhere to CNESS training standards, ethical conduct, and active participation requirements.

Mentors are responsible for delivering training aligned with CNESS frameworks and are compensated based on program-specific license and revenue share models.

CNESS reserves the right to revoke mentorship status for violations of ethical guidelines or program policies.

7. PARTNER PROGRAM

Partners are organizations licensed by CNESS to market, sell, and promote CNESS certification, membership, and platform solutions.

Partners are independent contractors and are not agents, employees, or legal representatives of CNESS.

Partners must:

• Represent CNESS offerings truthfully
  
  
  

• Follow brand and communication guidelines
  
  
  

• Maintain active partner status via license fees and compliance audits
  
  

CNESS may terminate partner licenses for misrepresentation, misuse of intellectual property, non-compliance, or violation of ethical standards.

8. MARKETPLACE AND TRANSACTIONS

CNESS provides a marketplace to facilitate transactions but is not a buyer, seller, agent, or guarantor.

All transactions are directly between the buyer and seller. Users must:

CNESS charges commissions on marketplace sales and reserves the right to remove listings or suspend sellers for violations.

9. FEES, PAYMENTS, AND REFUNDS

• Certification, mentorship licenses, partner licenses, directory listings, and marketplace commissions are subject to published pricing and terms.
  
  
  

• Unless otherwise stated, all payments are non-refundable after processing.

10. INTELLECTUAL PROPERTY

All intellectual property on the Platform including logos, trademarks, proprietary content, designs, technology, and software is owned by or licensed to CNESS.

Users may not copy, reproduce, modify, distribute, or use CNESS intellectual property without express prior written consent.

11. DISCLAIMERS

The Platform and all services are provided "as is" and "as available," without warranties of any kind, whether express or implied.

CNESS does not guarantee uninterrupted operation, future results, or the absolute accuracy of certifications, marketplace listings, Ariven AI suggestions, or user content.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, CNESS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from your use of or inability to use the Platform.

Our total liability for any claims related to the Platform will not exceed USD 100 or the total amount paid by you to CNESS in the preceding 12 months, whichever is greater.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

Any disputes arising out of or related to these Terms or the Platform shall be resolved exclusively through binding arbitration in Los Angeles County, California.

14. CHANGES TO TERMS

We may modify these Terms from time to time. Material changes will be communicated through email or Platform notices. Your continued use after changes constitutes acceptance.
